Terms of Use

What these Terms are — and are not. These are the terms for using our public website. They are not a software licence, not a client service agreement, and not a partnership or engagement agreement. Any actual engagement with Entry Life is governed by a separate written agreement, and where that agreement conflicts with these Terms, that agreement prevails for the engagement.

These Terms & Conditions ("Terms") are a legal agreement between you and Entry Life Limited ("Entry Life", "we", "us" or "our") governing your access to and use of our website (the "Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with them, please do not use the Site. If you use the Site on behalf of an organisation, you confirm you are authorised to accept these Terms for that organisation.

The Site is an informational and marketing website. Entry Life is a startup studio, registered in New Zealand, that partners with founders, funds and organisations to build technology ventures. The Site exists to describe who we are and what we do, and to let you get in touch, submit a founder application, or book an introductory call.

The Site does not sell products or services, does not process payments, and is not an online store. Descriptions of our services on the Site are for information only and do not constitute an offer capable of acceptance, a quote, or a binding commitment to provide any service.

Unless stated otherwise, all content on the Site — including text, graphics, logos, page designs, layout, and the "Entry Life" name and branding — is owned by Entry Life or its licensors and is protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable and revocable right to view and use the Site for your own lawful, non-commercial information purposes. This licence does not transfer any ownership rights to you.

Except as expressly permitted in Section 4, you may not copy, reproduce, republish, distribute, modify, adapt, frame, or create derivative works from the Site or its content, or use our name or branding, without our prior written consent.

You may:

  • browse and read the Site for lawful, personal or internal business-information purposes;
  • share links to pages on the Site;
  • submit an enquiry, a founder application, or a booking request through the tools we provide, giving accurate information; and
  • print or save individual pages for your own reference.

Any other use requires our prior written consent.

You must not:

  • use the Site for any unlawful, fraudulent or harmful purpose, or in breach of these Terms;
  • attempt to gain unauthorised access to the Site, its server, our systems, or any data not intended for you;
  • interfere with or disrupt the Site or the networks or systems that host it, including by introducing viruses, malware, or other harmful code;
  • probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measures;
  • use any automated means (such as bots, scrapers, or harvesters) to access, copy, or collect content or data from the Site without our written consent;
  • submit false, misleading, or another person's information through our forms, or submit spam or unsolicited material;
  • misuse our forms or booking tools, including by submitting automated or high-volume requests (we use anti-spam measures and may block or challenge submissions that appear automated);
  • copy, reproduce, or exploit Site content except as Section 4 permits; or
  • use the Site in any way that could damage, disable, or impair it, or that infringes the rights of others.

We may restrict, suspend, or terminate your access to the Site at any time if we reasonably believe you have breached these Terms.

We take care to keep the information on the Site accurate and current, but we provide it "as is" and "as available". We do not warrant that the Site or its content is complete, accurate, current, or free from errors or omissions, and content may change without notice.

Some information on the Site describes our approach and services in general terms and may be updated as our business evolves. To the extent permitted by law, we are not liable for any reliance you place on Site content. If anything on the Site matters to a decision you are making, please confirm it with us directly.

The Site may contain links to third-party websites or resources (for example, a scheduling tool, our professional profiles, or external references). We provide these for convenience only. We do not control, endorse, or take responsibility for third-party websites, their content, or their privacy and terms. Your use of any third-party website is at your own risk and subject to that website's own terms and policies.

The content on the Site is general information about Entry Life and our services. It is not professional advice — legal, financial, investment, tax, technical, or otherwise — and must not be relied upon as such.

Nothing on the Site is an offer of securities, financial product advice, or an invitation or inducement to invest, and content describing ventures, funds, or technology (including any reference to blockchain, tokens, or digital assets) is provided as background about our work only, not as investment or financial-product advice. You should obtain your own professional advice before acting on anything you read on the Site.

Contacting us, booking an introductory call, or submitting a founder application does not create any partnership, engagement, or contractual relationship with Entry Life, and does not guarantee that we will work with you.

Entry Life is a selective studio with limited capacity. We decline more enquiries than we accept, usually on the basis of fit, stage, sector, timing, or capacity rather than the merit of your venture. Any decision to work together will be set out in a separate written agreement, and only that agreement creates obligations between us. Until then, no statement on the Site or in preliminary discussions is a binding commitment.

When you submit a founder application or enquiry through the Site:

  • you confirm the information you provide is accurate and that you are entitled to provide it;
  • you understand that submission does not guarantee a response within any particular time, an introductory call, a proposal, or an engagement;
  • you understand that we assess applications for fit and capacity, and that we may decline without giving detailed reasons;
  • you agree not to submit confidential or sensitive information you do not wish to share at this stage — an initial application is not the place for your most sensitive material, and we recommend keeping early submissions high-level; and
  • you acknowledge that we handle the personal information you submit in accordance with our Privacy Policy (Section 13).

To the maximum extent permitted by law, the Site and its content are provided without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, Entry Life will not be liable for any indirect, incidental, special, or consequential loss, or any loss of profit, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site or its content, whether in contract, tort (including negligence), or otherwise.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. If you are a consumer in New Zealand, you may have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that cannot be excluded.

To the extent permitted by law, you agree to indemnify and hold harmless Entry Life and its founders, personnel, and agents from any claims, losses, liabilities, and reasonable costs (including legal costs) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party in connection with your use of the Site.

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Site, you acknowledge our Privacy Policy. Where these Terms and the Privacy Policy address the same matter, the Privacy Policy governs the handling of personal information.

These Terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site.

We may update these Terms from time to time to reflect changes in the Site, our business, or the law. When we do, we will change the "Last updated" date and publish the revised Terms on the Site. Your continued use of the Site after changes are published means you accept the updated Terms. We encourage you to review these Terms periodically.
